This document is a carefully prepared draft and will be reviewed by legal counsel before the platform launches. If the final version differs, the change is listed in the changelog and customers are informed by email.
01Definitions
- Traze: the provider of the platform and this website, reachable at hello@traze.io.
- Customer: the business or organisation that takes out a subscription. Traze supplies business customers only.
- Platform: Traze's software that researches search queries, writes content, publishes it into the customer's CMS, optimises and measures, including the dashboard, integrations and API.
- Content: all texts, metadata, schema markup, internal links and other output the platform produces for the customer.
- Customer material: everything the customer supplies or makes available through integrations: brand profile, existing pages, Search Console data, product information and instructions.
- Agreement: the subscription that comes into being by completing the start procedure or signing a quote, including these terms.
02Applicability and formation
These terms apply to every use of the platform and every agreement with Traze. Deviating purchasing conditions of the customer do not apply unless agreed otherwise in writing.
The agreement is formed when Traze confirms the request made through the start procedure in writing, or when both parties sign a quote. Until that confirmation Traze may decline a request without giving reasons, for example because the CMS is not supported.
03What Traze delivers
The platform researches search queries and AI questions, draws up a strategy and content calendar, writes content from the brand profile, publishes it into the customer's CMS, optimises existing pages and measures organic performance and AI visibility according to the public methodology on traze.io.
The customer approves the strategy and decides per page type whether content is published after approval or automatically. With automatic publishing the customer accepts that content goes live without prior review by the customer; Traze does run its own quality checks.
Depending on the plan, Traze provides additional services such as a success manager or quarterly strategy. What each plan includes is stated on the pricing page at the time of purchase and in the confirmation.
04Subscriptions, term and cancellation
Subscriptions are billed per plan, with a fixed number of published pages per month. Unused pages expire at the end of the month unless agreed otherwise.
Monthly rolling: the subscription runs per calendar month and renews month by month. You can cancel at any time effective at the end of the current month, through the dashboard or by email.
Annual: the subscription has a term of twelve months and then renews automatically for successive twelve-month periods, unless either party cancels in writing at least thirty days before the end of the term. A discount for upfront payment is final; if the customer terminates early, no refund is given unless Traze is in breach.
Upgrades take effect immediately; downgrades take effect at the next billing period.
05Renewal, pausing, cancellation and credit
Reminder before renewal: no later than seven days before every renewal, monthly or annual, Traze emails the billing address with the amount, the date and a direct cancel link. If that reminder demonstrably was not sent, the customer can reverse the renewal free of charge within fourteen days of the invoice date.
Self-serve cancellation: cancelling is always possible from the dashboard, without staff involvement. The cancellation takes effect at the end of the current period; until then the customer keeps full access.
Pausing: the customer can pause the subscription per calendar month for up to three months per subscription year. During a pause no pages are produced and nothing is charged; measurements and data are retained.
Credit: pages not used in a month remain available for three calendar months. Prepaid credit does not expire as long as the account exists and is settled pro rata against outstanding periods on termination.
No setup fee: Traze charges no setup fee, onboarding fee or minimum volume. The first invoice amount is the first subscription period.
These provisions prevail over article 4 where they deviate from it.
06Prices and payment
Prices are stated on the pricing page, in euros and excluding VAT. Invoicing is monthly in advance, or for an annual plan with upfront payment in one instalment in advance. The payment term is 14 days.
If payment is late, Traze sends a reminder. If payment is still not received after the reminder, Traze may suspend publishing and access until payment is received; the payment obligation remains. Traze may charge statutory commercial interest and reasonable collection costs.
Traze may change prices with at least thirty days' notice. For running annual plans a price change applies only from the next term. On a monthly plan you can cancel before the effective date if you do not accept the change.
07Customer obligations
- Grant access to the CMS, Google Search Console and any other integrations required, with permissions no broader than needed.
- Provide accurate and current information about brand, products, services and claims. Traze writes on the basis of what the customer supplies and what is publicly available.
- Review content for factual accuracy, legal admissibility and industry-specific rules (for instance in healthcare, finance or legal services), before or immediately after publication. The customer remains the publisher of its own website.
- Inform Traze in good time about changes to the CMS, domain, integrations or brand that affect the service.
- Keep login details and API keys confidential and report misuse.
08Ownership of content and data
All content the platform creates and publishes for the customer is and remains the property of the customer from the moment of publication or delivery. Traze makes no claim to it, including after the agreement ends. Published content stays online; on termination Traze removes nothing from the customer's website unless the customer asks for it.
The platform itself, the software, models, prompts, measurement methods, the dashboard and all improvements to them remain the property of Traze. The customer receives a non-exclusive, non-transferable right of use for the duration of the agreement.
Customer material remains the customer's. The customer grants Traze the right to use that material to deliver the service. Traze may use aggregated data that cannot be traced to a customer to improve the platform and the methodology and to publish about the market.
Traze names the customer as a reference or publishes a case study only with the customer's written consent.
09AI-generated content and no guarantee of results
Content is largely generated by AI models based on customer material, research and public sources, with automated and, depending on the plan, human checks. Traze makes every effort to make content accurate, original and on brand, but cannot guarantee that every page is free of errors. That is why the customer always has the option to approve before publication.
Search engines and AI engines are third-party services that change how they work without notice. Traze guarantees no positions, traffic, mentions in AI answers or revenue. What Traze does guarantee: that it measures according to the public methodology, that every change is in the log and that the customer can cancel as described above.
10Acceptable use
The platform is intended to grow the customer's own websites (or, under an agency agreement, those of its clients). The following is not allowed:
- Having content produced that is unlawful, misleading, discriminatory, hateful or infringing, or that contains medical, financial or legal claims without substantiation.
- Using the platform for link networks, doorway pages, hidden text, cloaking or other techniques that violate search engine guidelines.
- Connecting websites the customer does not own or has no permission for.
- Reverse-engineering, copying, reselling or scraping the software or dashboard outside the API provided.
- Circumventing rate limits or security, or using the platform to harm third parties.
In case of a violation Traze may suspend or terminate the service, after a warning where reasonable. The customer indemnifies Traze against third-party claims arising from customer material or from use in breach of these terms.
11Data protection
For personal data that Traze processes on behalf of the customer, the parties enter into a data processing agreement that forms part of the agreement. Traze processes that data only to deliver the service, maintains a list of sub-processors and informs the customer of changes. See also the privacy policy.
12Availability and maintenance
Traze aims for high availability of the dashboard and publishing but does not guarantee uninterrupted operation. Planned maintenance is announced; outages are reported in the dashboard. For Enterprise customers the SLA applies. Traze is not responsible for outages at the CMS, Google, AI engines or other third-party services.
13Liability
Traze's total liability per calendar year is limited to the amount the customer paid Traze in the twelve months preceding the event that caused the damage. Traze is not liable for indirect damage, such as lost revenue, loss of rankings or visibility, reputational damage or loss of data the customer could have backed up itself.
These limitations do not apply in case of intent or deliberate recklessness on the part of Traze. Claims lapse if they are not reported in writing within twelve months of discovery.
14Confidentiality
Both parties keep the other's confidential information secret and use it only for the agreement. This applies in any case to Search Console data, revenue figures, strategies, pricing arrangements and non-public product information, and continues to apply until two years after the agreement ends.
15Termination and consequences
In addition to cancellation as described above, either party may terminate the agreement with immediate effect if the other, after written notice of default, fails to meet a material obligation, is declared bankrupt or applies for a moratorium.
After termination Traze stops publishing and measuring, published content remains the customer's and stays online, the customer can export its data and measurement history for thirty days, and Traze then deletes the customer environment, except for what must be retained by law.
16Changes to the service and to these terms
Traze develops the platform continuously and may add, change or replace features as long as the core of the service is preserved. We may amend these terms with thirty days' notice by email and in the dashboard. If you do not accept a change, you can cancel effective from its start date.
17Governing law and disputes
The agreement is governed by Dutch law. Parties first submit disputes to each other to resolve them together. If that fails within thirty days, the competent court in the Netherlands in the district where Traze is established has exclusive jurisdiction.
